TERMS AND CONDITIONS OF CREDIT RELATIONSHIP:

1. Purchaser agrees to the terms and conditions of Topaz Engineering Supply, Inc.’s Standard Terms and Conditions of Sale as of the date of shipment available at www.Topazeng.com/salesterms. All sales and orders are expressly limited to such terms, which may be updated from time to time. No other terms and conditions other than as referred to or stated herein apply unless agreed to in writing by both parties.

2. Acceptance of goods, without notification of dispute or defect pursuant to notice requirements and procedures set forth in the Standard Terms of Conditions of Sale will be deemed an absolute and unconditional waiver by Buyer of all such claims. At Seller’s discretion, payment may be applied against open charges. If after notice Applicant does not assert an interest in unresolved credit items, Seller will deem all such unresolved credit items to be in error and the property of the Seller. Purchaser must notify seller of any defect, problem or damage to any purchased merchandise within two business days of receipt or no refund or credit will be allowed. All merchandise must be inspected upon receipt and if shipping damage is suspected such damage must be noted in writing with shipping company at that time. If any damage has been caused during shipping and not noted with shipping company Topaz Engineering Supply, Inc. will not be responsible for any refund or credit.

3. Payment terms are as stated in the invoice and the Standard Terms and Conditions of Sale. Payment terms are as follows: A) All sales are to be paid in full at time order is placed by use of a valid credit card or by use of C.O.D payment. B) Any sales not paid for by either a valid credit card at time order is placed or by C.O.D payment must be paid using a valid company purchase order. A valid company purchase order will only be accepted if an approved and up to date credit application is on file at Topaz Engineering Supply, Inc.

4. Purchaser authorizes Seller, its successors and assigns, by its designated attorney, to waive the issuance of service of process and confess judgment against it for the entire unpaid balance of applicant’s account, together with all cost applicable to such action.

5. This Application (Terms and Conditions) and any dispute arising from it will be governed by the laws of the state of Massachusetts. The parties agree that Plymouth County, Massachusetts is the appropriate venue for such an action.
